Terms of Service

Important Notice: This Terms of Service ("Terms") constitutes a legally binding agreement between you ("User," "you," or "your") and AbleCredit Technologies Private Limited ("AbleCredit," "we," "us," or "our"). By accessing or using AbleCredit's website, mobile applications, APIs, dashboards, or any other products and services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

1. You represent that you are (a) at least 18 years old, (b) have the legal capacity to enter into these Terms, and (c) are authorised by a licensed Lender (or by AbleCredit directly) to access the Platform.
2. The Platform is intended for business use within India. Users in other jurisdictions are responsible for compliance with local laws.

3. Licence & Acceptable Use

1. Limited Licence: AbleCredit grants you a non-exclusive, non-transferable, revocable licence to access and use the Platform strictly in accordance with these Terms.
2. Restrictions: You shall not:
   • Copy, modify, reverse engineer, or create derivative works of the Platform;
   • Upload viruses, malicious code, or content that infringes third-party rights;
   • Use the Platform for unauthorised personal lending or any illegal purpose;
   • Resell, lease, or provide unauthorised third-party access to the Platform.

4. User Responsibilities

1. Accuracy of Data: You are solely responsible for the accuracy, legality, and completeness of any Borrower Data or other content you submit.
2. Confidentiality: You must keep login credentials secure and immediately notify AbleCredit of any unauthorised access.
3. Compliance: You agree to comply with all applicable RBI regulations, KYC/AML rules, data-privacy laws (e.g., India's Digital Personal Data Protection Act, 2023), and any internal policies of your Lender.

5. Data Rights & Privacy

1. Ownership: Borrower Data remains the property of the Lender or Borrower (as applicable). AbleCredit acts as a data processor.
2. Usage: AbleCredit may process Borrower Data to provide services, improve AI models (in anonymised/aggregated form), and comply with legal obligations.
3. Retention & Deletion: Borrower Data is retained per Lender configuration or statutory requirements. Upon written request (and subject to regulatory mandates), AbleCredit will delete or anonymise personal data.
4. Security: AbleCredit follows ISO 27001 and industry-standard encryption; however, no system is 100% secure. You acknowledge the inherent risks of internet transmission.

6. AI Outputs & Professional Judgment

1. AI Outputs are recommendations only. Ultimate credit decisions rest with the Lender's authorised personnel.
2. AbleCredit disclaims liability for any decision taken solely on AI Outputs without human validation.

7. Third-Party Services

The Platform may integrate with credit bureaus, Account Aggregators, or other third-party APIs. AbleCredit does not control, and is not responsible for, third-party content or downtime.

8. Fees & Payment

Applicable subscription or usage fees are governed by the Master Service Agreement ("MSA") between AbleCredit and the Lender. You acknowledge that failure to pay such fees may result in suspension or termination of access.

9. Intellectual Property

All software, algorithms, documentation, trademarks, and other IP on the Platform are owned by AbleCredit or its licensors. Except for the limited licence granted herein, no rights are conveyed.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." ABLECREDIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET SPECIFIC PERFORMANCE METRICS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABLECREDIT SHALL NOT BE LIABLE FOR (i) INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR (ii) AGGREGATE DAMAGES EXCEEDING THE FEES PAID TO ABLECREDIT IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AbleCredit, its directors, and employees from any loss, liability, or expense arising out of: (a) your misuse of the Platform; (b) violation of these Terms; or (c) infringement of third-party rights.

13. Suspension & Termination

1. AbleCredit may suspend or terminate access immediately if you breach these Terms, violate law, or pose a security risk.
2. Upon termination, all licences cease and you must stop using the Platform. Sections relating to IP, confidentiality, disclaimers, and liability survive termination.

14. Modifications to Terms

AbleCredit may update these Terms at any time. Material changes will be notified via email or Platform banner. Continued use after the effective date constitutes acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Courts of Bengaluru, Karnataka shall have exclusive jurisdiction. Disputes may first be referred to arbitration under the Arbitration and Conciliation Act, 1996 (one arbitrator appointed by AbleCredit; proceedings in English; seat Bengaluru).

16. General

• Force Majeure: AbleCredit is not liable for delays due to events beyond reasonable control.
• Assignment: You may not assign rights without AbleCredit's prior consent. AbleCredit may assign to an affiliate or in connection with a merger or acquisition.
• Severability: If any clause is held invalid, the remainder remains enforceable.
• Entire Agreement: These Terms, the MSA (if any), and the Privacy Policy constitute the entire agreement between the parties regarding the Platform.
